Terms of Service

1. Overview and Acceptance of Terms

Welcome to MissionPeak, a community-building and messaging platform designed to connect individuals with a shared passion for outdoor activities. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Siddhatek LLC (“Siddhatek”, “MissionPeak”, “we”, “us”, or “our”) regarding your access to and use of the MissionPeak app, website, and related services (collectively, the “Service”).

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Service. If you use the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” will refer to that entity as well as yourself individually.

NOTICE REGARDING DISPUTE RESOLUTION: These Terms contain provisions that govern how disputes between you and MissionPeak are resolved, including an agreement to arbitrate, which will—unless you reside in the EU or jurisdictions where prohibited—require you to submit claims to binding and final arbitration and limit you to claims on an individual basis, unless you opt out as described below.


2. Definitions and Interpretation

For the purposes of these Terms, the following definitions apply. Additional definitions may be provided in context throughout these Terms.

  • Account: The registered user account required to access certain features of the Service.
  • Content: Any text, images, videos, audio, data, routes, event information, messages, or other material created, posted, shared, or otherwise made available through the Service by you or other users.
  • User-Generated Content (UGC): Content created, uploaded, or posted by users, including but not limited to event listings, comments, photos, and messages.
  • MissionPeak Content: All content, features, and functionality provided by MissionPeak, excluding User-Generated Content.
  • Service: The MissionPeak app, website, and all related features, products, and services.
  • Subscription: Paid access to certain premium features of the Service, subject to recurring fees and auto-renewal.
  • Third-Party Services: Services, content, or products provided by entities other than MissionPeak, which may be integrated with or accessible through the Service.
  • Beta Features: Pre-release, experimental, or limited-availability features or products offered by MissionPeak for evaluation purposes.

Interpretation: Headings are for convenience only and do not affect the interpretation of these Terms. The singular includes the plural and vice versa. References to “including” mean “including without limitation.”


3. Eligibility, Age Restrictions, and Account Registration

Eligibility

You must be at least 18 years old to use the Service. By registering, you represent and warrant that you are 18 years of age or older. If MissionPeak discovers that a user is under 18, the account will be suspended, and any associated data will be deleted promptly.

Account Registration

To access certain features, you must create an Account by providing accurate, current, and complete information. You agree to:

  • Maintain and promptly update your Account information.
  • Maintain the confidentiality of your login credentials.
  • Not share your Account or allow others to access it.
  • Notify MissionPeak immediately of any unauthorized use or security breach.

You are solely responsible for all activities that occur under your Account. MissionPeak reserves the right to suspend or terminate your Account for violations of these Terms or for inactivity.

Third-Party Integrations

You may register or log in using third-party services (e.g., Google, Apple). By doing so, you authorize MissionPeak to access and use information from those services as permitted by their privacy policies. MissionPeak is not responsible for the terms or privacy practices of third-party services.


4. User Responsibilities and Code of Conduct

General Responsibilities

You agree to use the Service in a manner consistent with its intended purpose: fostering a positive, inclusive, and safe community for outdoor activity enthusiasts. MissionPeak strives to foster a positive community but does not guarantee user conduct or safety. You are responsible for your conduct and all Content you submit, post, or share on the Service.

Code of Conduct

You agree to:

  • Treat all users with respect, courtesy, and professionalism.
  • Provide accurate information in your profile and event listings. MissionPeak may not guarantee the accuracy of user-provided information.
  • Respect the privacy and safety of others.
  • Comply with all applicable laws, regulations, and these Terms.
  • Promptly report any violations, abuse, or suspicious activity to MissionPeak.

You must not:

  • Harass, threaten, abuse, or discriminate against any individual or group.
  • Post or share Content that is defamatory, obscene, offensive, or illegal.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Engage in spamming, phishing, or other deceptive practices.
  • Attempt to gain unauthorized access to the Service or other users’ Accounts.
  • Commercial promotion, advertising, or selling products/services is prohibited unless authorized by MissionPeak.
  • Represent yourself as a professional guide, instructor, or safety expert in connection with events or activities unless you possess the appropriate credentials.

MissionPeak reserves the right to investigate and take appropriate action, including suspension or termination of Accounts, for violations of this Code of Conduct.


5. Content Ownership and User-Generated Content Licensing

Ownership of Content

You retain all intellectual property rights in the Content you create and share on the Service. By submitting Content, you represent and warrant that you own or have the necessary rights to use and share such Content, and that your Content does not infringe any third-party rights.

License to MissionPeak

By posting or sharing Content on the Service, you grant MissionPeak a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display your Content in connection with operating, promoting, and improving the Service. This license continues until your Content is deleted from MissionPeak’s systems, except for Content that has been shared with others or is required to be retained for legal or operational reasons.

User-Generated Content (UGC) Best Practices

  • You are solely responsible for your Content and any consequences of sharing it.
  • You must not post Content that is illegal, infringes intellectual property rights, or violates privacy or publicity rights of others.
  • MissionPeak may, but is not obligated to, monitor, review, or remove Content that violates these Terms or is otherwise objectionable.

Content Removal and Retention

Upon account deletion or a valid content removal request, MissionPeak will remove your Content and personal information from active systems within 30 days and from backup systems within 90 days. Where full deletion is not technically feasible, your personal information will be anonymized.

Removal may not be complete where content has already been shared with or received by other users, where retention is required by applicable law, or where content is needed to establish or defend legal claims. Deletion requests will be confirmed in writing upon completion.


6. Acceptable Use and Prohibited Conduct

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms and any applicable Acceptable Use Policy (“AUP”) published by MissionPeak. The AUP is incorporated by reference and may be updated periodically.

Prohibited Conduct

You must not, directly or indirectly:

  • Use the Service for any unlawful, fraudulent, or malicious purpose.
  • Post, upload, or share Content that is illegal, harmful, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Infringe upon or violate the intellectual property, privacy, or other rights of MissionPeak or any third party.
  • Distribute spam, unsolicited communications, or malware.
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service.
  • Circumvent, disable, or interfere with security features or access controls.
  • Collect or harvest information about other users without their consent.
  • Use automated means (bots, scrapers) to access or interact with the Service.
  • Engage in any activity that could damage, disable, overburden, or impair the Service or interfere with any other party’s use of the Service.

MissionPeak reserves the right to investigate and take appropriate action, including suspension or termination of Accounts, for violations of this section.


7. Privacy, Data Collection, and Third-Party Integrations

Privacy Policy

MissionPeak’s Privacy Policy explains how we collect, use, store, and share your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy, which is incorporated by reference into these Terms.

Data Collection and Use

MissionPeak collects personal and non-personal data necessary to provide and improve the Service, including but not limited to:

  • Registration information (name, email, age, etc.)
  • Profile and activity data
  • Location and geolocation data (with your consent)
  • Device and usage information

We use this data to operate the Service, personalize your experience, communicate with you, and comply with legal obligations.

Data Sharing and Disclosure

We may share your data with:

  • Service providers and partners who assist in operating the Service
  • Other users, as necessary for event participation and community features
  • Third-party integrations (e.g., calendar, payment processors) at your direction
  • Law enforcement or regulatory authorities as required by law

MissionPeak does not sell your personal information or share it with third-party advertisers. Where MissionPeak displays targeted advertisements, targeting is performed using MissionPeak’s own first-party data internally — advertisers specify targeting criteria but receive no personal information about individual users. Users may opt out of first-party ad targeting at any time through their account settings. For full details see the Privacy Policy.

Third-Party Integrations

The Service may integrate with third-party services (e.g., Google, Apple, payment processors). Your use of these integrations is subject to the terms and privacy policies of those third parties. MissionPeak is not responsible for the practices of third-party services.

User Rights

Depending on your jurisdiction, you may have rights to access, correct, delete, or restrict the use of your personal data. Please refer to our Privacy Policy for details on how to exercise these rights.


8. Safety, Outdoor Activity Risks, and Disclaimers

Assumption of Risk

Participation in outdoor activities involves inherent risks, including but not limited to physical injury, illness, property damage, or death. By using the Service and participating in events or activities organized through MissionPeak, you acknowledge and voluntarily assume all risks associated with such activities, whether or not they are described in detail on the Service.

No Guarantee of Safety

MissionPeak does not guarantee the safety, suitability, or quality of any event, activity, route, or user-organized gathering. You are solely responsible for assessing your own abilities, fitness, and preparedness, and for making informed decisions about participation.

Event Organizer and Participant Responsibilities

  • Events created on MissionPeak are organized by independent community members (“Organizers”). Organizers are not employees, agents, representatives, or professional guides affiliated with MissionPeak.
  • Organizers may not possess professional training, certifications, or safety expertise. Events should be considered as informal social gatherings among participants with shared interests.
  • Organizers are not acting as professional guides or safety supervisors and may not have professional training. Participants remain responsible for their own safety and judgment.
  • Each participant is solely responsible for evaluating their own physical ability, experience level, equipment, and preparedness before participating in any activity.
  • By joining an event, you acknowledge that participation is voluntary and that you assume full responsibility for your own safety and well-being.
  • Participants must exercise independent judgment and should not rely on organizers, other participants, or MissionPeak for safety guidance, professional instruction, or risk assessment.
  • Organizers are responsible for ensuring that any event they create complies with applicable local laws, regulations, land-use restrictions, and permit requirements. MissionPeak does not verify or obtain permits for user-organized activities.

Waiver and Release

To the maximum extent permitted by law, you release MissionPeak and its affiliates, officers, employees, agents, and partners from any and all liability for injuries, damages, losses, or claims arising from your participation in any activity or event organized through the Service, including activities organized by other users of the Service, or from your use of the Service. This waiver does not apply to liability resulting from MissionPeak’s gross negligence or willful misconduct.

MissionPeak does not supervise or control events or participant interactions, and is not responsible for the conduct, actions, or omissions of event organizers or other participants.

The presence of structured event details — such as routes, difficulty ratings, or capacity limits — does not imply MissionPeak’s review, approval, or endorsement of any event’s safety plan or suitability.

Activity Waiver Best Practices

  • Read and understand all event descriptions and safety guidelines.
  • Follow all applicable laws, regulations, and instructions from event organizers.
  • Use appropriate equipment and take necessary precautions.
  • Consult with a medical professional before engaging in strenuous activities.

MissionPeak may require users to acknowledge activity-specific safety information before joining certain events.


9. Warranties, Disclaimers, and Limitation of Liability

Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. MISSIONPEAK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MISSIONPEAK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, PARTICIPATION IN EVENTS, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MISSIONPEAK’S MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) FIFTY DOLLARS ($50), OR (B) THE AMOUNT OF FEES PAID BY YOU TO MISSIONPEAK IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

Nothing in this section limits MissionPeak’s liability for death or personal injury caused by MissionPeak’s negligence in jurisdictions where such limitation is prohibited by law.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability shall be limited to the maximum extent permitted by law.


10. Fees, Subscriptions, Payments, Refunds, and Auto-Renewal

Free and Paid Features

MissionPeak offers both free and paid (subscription-based) features. Access to certain premium features requires payment of subscription fees, plus any applicable taxes. MissionPeak reserves the right to add, modify, or discontinue features at any time, with reasonable notice for material changes.

Payment and Billing

To purchase a subscription, you must provide a valid payment method. By providing payment information, you authorize MissionPeak to charge the applicable fees. Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected), and your subscription will auto-renew unless canceled at least 24 hours before the end of the current billing period.

Cancellation and Refunds

You may cancel your subscription at any time through your Account settings. Cancellation will take effect at the end of the current billing period; you will retain access to subscription features until then. Refunds are provided only as required by law or as described in our Refund Policy. If you reside outside the United States, you may be entitled to a cooling-off period under local law, allowing you to receive a full refund within 14 days of subscribing.

Free Trials

MissionPeak may offer free trials for certain features. Unless otherwise stated, free trials cannot be combined with other offers and will last for the duration specified. If you do not cancel before the end of the trial, you will be billed for the subscription fee at the end of the trial period.

Auto-Renewal and Consumer Rights

MissionPeak will provide clear, conspicuous notice of auto-renewal terms before charging your payment method. You have the right to cancel auto-renewal at any time. If you are charged without proper notice or consent, you may be entitled to a refund under applicable consumer protection laws.


11. Termination, Suspension, and Enforcement

Termination by User

You may terminate your Account at any time by following the instructions in your Account settings or by contacting MissionPeak support. Upon termination, your access to the Service will cease, and your Content may be deleted, subject to our data retention policies and legal obligations.

Termination or Suspension by MissionPeak

MissionPeak may suspend or terminate your Account, or restrict access to the Service, at its sole discretion and without prior notice, for reasons including but not limited to:

  • Violation of these Terms or applicable laws
  • Non-payment of fees
  • Inactivity
  • Discontinuation or material modification of the Service
  • To protect the safety or integrity of the Service or its users

Upon termination, MissionPeak may delete your Account and associated Content. Certain provisions of these Terms will survive termination, including those relating to Content licenses, disclaimers, limitations of liability, indemnification, and dispute resolution.

Enforcement

MissionPeak reserves the right to investigate violations, cooperate with law enforcement, and take any action deemed necessary to enforce these Terms, including legal action.


12. Intellectual Property, Trademarks, and Brand Use

MissionPeak Intellectual Property

All rights, title, and interest in the Service, MissionPeak Content, trademarks, logos, and other proprietary materials are owned by MissionPeak or its licensors. Except as expressly permitted, you may not use, copy, modify, or distribute MissionPeak’s intellectual property without prior written consent.

User-Generated Content

You retain ownership of your Content, subject to the license granted to MissionPeak as described above. You may not use MissionPeak’s trademarks or branding in a manner that implies endorsement or affiliation without express permission.

Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant MissionPeak an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use such feedback for any purpose, without obligation or compensation to you.


13. DMCA, Copyright Infringement, and Takedown Procedures

Copyright Policy

MissionPeak respects the intellectual property rights of others and expects users to do the same. If you believe that Content on the Service infringes your copyright, you may submit a notice in accordance with the Digital Millennium Copyright Act (“DMCA”) or applicable law.

DMCA Takedown Procedure

To file a DMCA notice, provide the following information to MissionPeak’s designated agent:

  • Your physical or electronic signature
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location
  • Your contact information
  • A statement of good faith belief that the use is unauthorized
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

Upon receipt of a valid notice, MissionPeak will expeditiously remove or disable access to the infringing material and notify the user responsible. Users may submit a counter-notification if they believe the removal was in error. Repeat infringers’ Accounts may be terminated.


14. Dispute Resolution, Governing Law, and Arbitration

Informal Resolution

Before initiating any formal dispute, you and MissionPeak agree to attempt to resolve the issue through good faith discussions. Please contact MissionPeak support to initiate this process.

Arbitration Agreement

Except as prohibited by law or for users residing in the EU or other jurisdictions where arbitration is not permitted, you and MissionPeak agree to resolve all disputes arising out of or relating to these Terms or the Service through binding arbitration, administered by a recognized arbitration provider (e.g., JAMS or AAA), in accordance with their rules. The arbitrator’s decision will be final and binding.

  • Class Action Waiver: All arbitration proceedings will be conducted on an individual basis. You waive any right to participate in class, collective, or representative actions.
  • Opt-Out: You may opt out of arbitration by notifying MissionPeak in writing within 30 days of accepting these Terms.

Governing Law and Venue

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in San Francisco County, California, unless otherwise required by law.


15. Accessibility, EU Digital Services Act, and International Compliance

Accessibility

MissionPeak is committed to making the Service accessible to users with disabilities. We strive to comply with applicable accessibility standards, including the Americans with Disabilities Act (ADA) and the EU Web Accessibility Directive. If you encounter accessibility barriers, please contact us for assistance.

EU Digital Services Act (DSA) Compliance

For users in the European Union, MissionPeak complies with the Digital Services Act (DSA), including:

  • Providing clear, plain, and intelligible Terms of Service
  • Implementing transparent content moderation and reporting mechanisms
  • Offering statements of reasons for content moderation decisions
  • Providing an internal complaints and appeals process
  • Cooperating with certified out-of-court dispute settlement bodies
  • Publishing transparency reports as required.

International Users

If you access the Service from outside the United States, you are responsible for compliance with local laws. MissionPeak does not represent that the Service is appropriate or available in all jurisdictions.


16. Security, Data Breach Notification, and User Account Protection

Data Security

MissionPeak implements reasonable technical and organizational measures to protect your data against unauthorized access, loss, or misuse. These measures include encryption, access controls, regular security assessments, and incident response protocols.

Data Breach Notification

In the event of a data breach affecting your personal information, MissionPeak will notify you and relevant authorities as required by applicable law, including the GDPR and CCPA. Notifications will include the nature of the breach, affected data, and steps taken to mitigate risks.

User Account Protection

You are responsible for maintaining the security of your Account credentials. Notify MissionPeak immediately if you suspect unauthorized access or a security incident. MissionPeak is not liable for losses resulting from your failure to safeguard your Account.


17. Third-Party Content, Links, and Advertisements

Third-Party Content

The Service may display, link to, or make available content, products, or services provided by third parties. MissionPeak does not endorse, control, or assume responsibility for third-party content, and your use of such content is at your own risk.

Third-Party Links and Integrations

Links to third-party websites or integrations are provided for your convenience. MissionPeak is not responsible for the availability, accuracy, or policies of third-party sites. Your interactions with third-party services are governed by their terms and privacy policies.

Advertisements

MissionPeak may display advertisements or sponsored content. The presence of advertisements does not constitute an endorsement by MissionPeak. We do not guarantee the accuracy or reliability of advertised products or services.


18. Beta Features, Experimental Functionality, and Feedback

Beta Features

MissionPeak may offer access to beta, experimental, or pre-release features (“Beta Features”). Beta Features are provided “as is,” without warranties, and may be modified or discontinued at any time. MissionPeak is not liable for any issues arising from the use of Beta Features.

  • Beta Features may not be subject to service level commitments or support.
  • Participation in Beta Features is voluntary and may require your explicit opt-in.
  • MissionPeak may collect and analyze usage data related to Beta Features to improve functionality.

Feedback

By providing feedback, suggestions, or ideas regarding Beta Features or the Service, you grant MissionPeak the right to use such feedback for any purpose, without obligation or compensation to you.


19. Community Moderation, Reporting, and Appeals Process

Content Moderation

MissionPeak will moderate Content to enforce these Terms and maintain a safe community. Moderation actions may include warning, hiding, restricting, or removing Content, and suspending or terminating Accounts.

Reporting Violations

Users may report Content or behavior that violates these Terms through in-app reporting tools or by contacting MissionPeak support. MissionPeak will review reports and take appropriate action.

Appeals Process

If you believe a moderation decision was made in error, you may appeal through the designated process. Appeals will be reviewed by a team independent of the original decision-makers. For users in the EU, you may also seek out-of-court dispute resolution as provided by the DSA.


20. Data Retention, Deletion, and User Rights

Data Retention

MissionPeak retains personal data only as long as necessary for the purposes for which it was collected, or as required by law. Retention periods are specified in our Privacy Policy and may vary depending on the type of data and applicable regulations.

Data Deletion

You may request deletion of your Account and personal data at any time. MissionPeak will delete your data unless retention is required for legal, regulatory, or operational reasons. Deleted data may persist in backups for a limited period.

User Rights

Depending on your jurisdiction, you may have rights to:

  • Access your personal data
  • Correct inaccurate data
  • Delete your data (“right to be forgotten”)
  • Restrict or object to processing
  • Data portability

21. Insurance, Indemnification, and User Liability

Insurance

MissionPeak does not provide insurance for users or events. You are responsible for obtaining any insurance coverage you deem necessary for participation in activities or events organized through the Service.

Event organizers are encouraged to consider obtaining personal liability insurance, particularly for events with large participant groups or elevated physical risk.

Indemnification

You agree to indemnify, defend, and hold harmless MissionPeak and its affiliates, officers, employees, agents, and partners from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your Content
  • Your violation of these Terms or applicable laws
  • Your participation in events or activities organized through the Service
  • Your violation of any rights of another person or entity.

If you create or organize an event through the Service, you additionally agree to indemnify MissionPeak for any claims, injuries, or damages arising from that event, including claims brought by other participants.


22. Changes to Terms, Notice, and Acceptance Mechanisms

Changes to Terms

MissionPeak may update or modify these Terms at any time. Material changes will be communicated to users through prominent in-app notifications, email, or other reasonable means. The updated Terms will become effective upon acceptance or as otherwise specified.

User Acceptance

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. For material changes, MissionPeak may require you to re-accept the Terms via a clickwrap agreement or similar mechanism before further use of the Service.

Consent Mechanisms

MissionPeak uses clickwrap agreements to obtain user consent to these Terms. You must affirmatively indicate your acceptance (e.g., by clicking “I Agree”) before accessing or using the Service. Passive acceptance (browsewrap) is not sufficient for enforceability.


23. Enforceability, Severability, and App Store Requirements

Enforceability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Failure by MissionPeak to enforce any right or provision does not constitute a waiver of that right or provision.

Severability

If any part of these Terms is held to be illegal, invalid, or unenforceable, that part will be severed, and the remainder will remain valid and enforceable to the fullest extent permitted by law.

App Store Requirements

If you access the Service via an app store (e.g., Apple App Store, Google Play), you must comply with the applicable app store terms and policies. In the event of a conflict between these Terms and app store terms, the app store terms may prevail to the extent required by the app store.


24. Contact Information
